Vanorsby joined WMGC as afternoon host in December 2016 shortly following the formats launch. He and former co-host Joanna Tuttle moved to mornings in November 2018. Prior to coming to Detroit, Gello hosted mornings at Sierra H Hip Hop “101.1 The Beat” KNRJ Cordes Lakes/Phoenix AZ and also hosted nights and mornings at Riviera Broadcasting Rhythmic CHR “Power 98.3” KKFR. He has been tracking middays at KKFR again since last July. /////////////////////////////////////////// FCC Grants Conditional Approval To Recent iHeartMedia Acquisitions Due To Pending Global Investment Posted: 26 Mar 2021 03:23 PM PDT https://radioinsight.com/headlines/2...al-investment/ The FCC has granted three recent acquisitions by iHeartMedia with conditions. The acquisitions of Multicultural Radios 1320 KXYZ Houston, Mortenson Broadcastings 970 KHVN and 1630 KKGM Fort Worth, and Sun and Snow Station Trusts 100.3 KSNR Fisher MN were approved with conditions on Globals stock purchase of the company. The purchase of 8.7 percent of iHeartMedias voting interests by Global placed the company in non-compliance with the ruling on foreign ownership granted to the company last year, but because the purchase was done on the public stock market and iHeart timely complied in notifying the FCC, the agency states that the public interest will be served by grant of the Applications with the following conditions, which are designed to insulate, to the extent possible, the new foreign interests while the remedial PDR seeking specific approval of such interests is pending. While awaiting approval of Globals stock purchase, iHeart must suspend all voting rights associated with any stock held by Global or its primary trustees. No Global investor has the right to serve on iHeartMedias Board of Directors, attend a meeting of the board, have any role or communicate with iHeart regarding day-to-day management or station operations, or have a role in any station sale or purchase. All dividends paid to Global must go into escrow until the FCC grants approval to hold more than 5 percent equity in the company. iHeartMedia has seven days to submit a declaration that it is in compliance with those conditions. The full ruling by the FCC can be read here. iHeart released the following press release regarding the FCCs decision: iHeartMedia, Inc. (Nasdaq:IHRT) today issued the following statement regarding approval of iHeartMedia’s pending applications to acquire certain radio stations, and the temporary shareholder restrictions required by the FCC to be imposed upon Global Media Entertainment Investments Ltd (“GMEI”) in connection with those approvals: “iHeartMedia values its shareholder relationships and we welcome all new shareholders to iHeartMedia. However, because GMEI is a foreign shareholder, its recent investment was inconsistent with the FCC’s foreign ownership rules and created an operating issue for us under the FCC’s regulatory framework. As background, GMEI’s purchase of an 8.7% position in our Class A Common stock, as reported in its Schedule 13D filed with the Securities and Exchange Commission on February 5, 2021, caused a violation of the FCC’s foreign ownership regulations and the FCC’s November 5, 2020 declaratory ruling related to the company’s foreign ownership, both of which limit a foreign investor in GMEI’s position to 5% without prior FCC approval. To address this issue, over which iHeartMedia had no prior knowledge or control, we filed a remedial petition for declaratory ruling requesting FCC approval for GMEI to have the ability to increase its ownership to up to 9.99% (the ‘Petition’). Notwithstanding the GMEI investment, the FCC has approved iHeartMedia’s acquisitions of certain stations, including stations for BIN: Black Information Network. However, the FCC has required that the company impose temporary shareholder restrictions on GMEI as a condition of approving those radio station acquisitions. To comply with the FCC order, iHeartMedia’s Board of Directors resolved to take action consistent with the FCC’s conditional requirements. Starting Monday, March 29 the program will run from 2-6:30pm as opposed to its current 3-7pm start time. The move puts the show on in the same timeslot as Entercoms 660 WFAN/101.9 WFAN-FMs Carton and Roberts. Evening host Chris Carlins show will now run from 6:30pm until 10pm. The New York Post noted earlier this week that the national Max Kellerman Show trailed WFAN in Men 25-54 by a 6 share point difference with Kellerman holding a 1.7 share in the prime demographic as opposed to WFANs 7.7 share. In the 3-7pm slot the difference narrowed to 4.8 for WFAN and 4.4 for WEPN-FM. The battle between the two afternoon shows will spread to television in May as SNY adds a simulcast of Carton Roberts from 4-6pm to match YES Networks airing of The Michael Kay Show from 3-6:30pm. In a suit filed in June 2020, Fresh alleges that Hubbard sent him a letter in January 2020 stating that the company had grounds to terminate his employment for cause due to his “inappropriate, unprofessional, offensive, and insubordinate conduct including posts he made on Facebook and YouTube. He was terminated in April 2020 from the syndicated Brooke & Jubal show at CHR Movin 92.5 KQMV after nine years at the station with Fresh stating that the for-cause provision was pretextual and he was really fired to having to avoid paying his salary following the advertising downturn brought on by the COVID-19 pandemic. Fresh claims Hubbard also sent a letter to his lawyers attempting to enforce his non-compete despite the fact the company terminated his contract. He is seeking unknown injunctive and declaratory relief. Jubal would join iHeartMedias KBKS in late July 2020 after a preliminary injunction was granted. He since began syndicating his new The Jubal Show morning show in October. A trial date has been set for June 21, 2021. |
